1. Acceptance of Terms

By accessing or using SignSpark's electronic signature platform and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

SignSpark provides an electronic signature platform that allows users to create, send, sign, and manage digital documents. Our Service includes document preparation, signature collection, authentication, and secure storage capabilities.

3. User Accounts and Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 18 years old to use the Service
  • One person or legal entity may maintain only one account
  • You are responsible for all activities that occur under your account

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Send spam, unsolicited communications, or malicious content
  • Attempt to gain unauthorized access to our systems
  • Upload viruses, malware, or other harmful code
  • Impersonate others or provide false information
  • Interfere with the proper functioning of the Service

5. Electronic Signatures and Legal Validity

SignSpark's electronic signatures are designed to comply with the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA). However, you are responsible for ensuring that electronic signatures are legally valid for your specific use case and jurisdiction.

6. Subscription Plans and Billing

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice
  • Accounts may be suspended for non-payment
  • You may cancel your subscription at any time

7. Intellectual Property Rights

SignSpark retains all rights to the Service, including software, trademarks, and proprietary technology. You retain ownership of your documents and content, but grant us a license to process and store them as necessary to provide the Service.

8. Data Security and Privacy

We implement industry-standard security measures to protect your data. Our handling of personal information is governed by our Privacy Policy. We maintain SOC 2 Type II compliance and use encryption for data in transit and at rest.

9. Service Availability and Support

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We provide customer support during business hours and maintain comprehensive documentation and resources.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNSPARK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold SignSpark harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

12. Termination

Either party may terminate these Terms at any time. Upon termination, your access to the Service will cease, and we may delete your data after a reasonable retention period. Provisions that should survive termination will remain in effect.

13. Governing Law and Disputes

These Terms are governed by the laws of California. Any disputes will be resolved through binding arbitration in San Francisco, California, except for claims that may be brought in small claims court.
